Bain Capital Private Equity announces agreement with Grupo Notre Dame Intermedica

Intermedica is one of the oldest and most trusted companies in the Brazil healthcare services market with than 3 million beneficiaries Sao Paolo, March 25, 2014 – Bain Capital Private Equity has agreed to acquire Grupo Notre Dame Intermedica (GNDI) from its founder, Dr. Paulo Barbanti. GNDI, headquartered in São Paolo, Brazil, is a market-leading provider of health and dental plans. Through its Intermedica, Notre Dame and Interodonto subsidiaries, the company provides healthcare services to more than 7,000 companies and over 3 million people. Financial terms of the private transaction were not disclosed.

The transaction is subject to prior approval by the Brazilian insurance regulator (ANS) and by the Brazilian anti-trust authority (CADE). GNDI will not comment further on the transaction until ANS and CADE have granted its prior approval.

This agreement reinforces Bain Capital Private Equity’s goal to build its presence in Brazil and the broader Latin America region. Bain Capital Private Equity has an unrivalled healthcare investment track record, combined with a strong operational focus and global healthcare network that it will bring to the Intermedica business in Brazil.
